What Are SPACs and Should You Invest in Them?

"Now, why do spags exist? A primary reason is the reverse mergers that occur was back with a publicly traded company purchasing a private company is in some ways simpler and easier way for private companies to become publicly traded compared with doing their own initial public offering. One Reason, the appetite for IPO's varies. There are some times where markets are more receptive to IPO's, and that's when a lot of private companies startup companies want to go public. Other Times not so much with a back. It's already public. and. So it's a way for a private company to become public without having to go through the road shows and much of the paperwork and legal hassle of going public. Another reason is often when a startup goes public doesn't initial public offering they lock up period for existing shareholders. It's not necessarily great press for a newly public company to have its founders selling a lot of their shares. With us back, they have the cash already raised and it's easier for founders and other principles of the private company to be able to liquidate more of their shares in the company. The other thing with initial public offering is often times money is left on the table. The underwriters try to price the initial public offering at ten to fifteen percent discount to the fair value of the company. But what that price is very difficult to determine and oftentimes after the initial public offering in the first few hours the IPO jump significantly in price, which means the private company didn't get that money that was money that was trading in the secondary market. It wasn't money that flowed to that private company is part of that public offering. With specs, there's a negotiated price. So the private company knows what they're getting. They know what the valuation is and so they potentially can get more money. How then do specs work? Well specs also need to raise capital so they do an initial public offering. It's usually combined with one common share plus a warrant or a fraction of a warrant, and what a warrant is gives the holder the right to buy more stock at a fixed price at a later date. It's an incentive for SPAC holders to potentially get more shares of the company wants that target is identified. The initial public offering is help for the back and at least eighty, five percent of the proceeds needs to go into an escrow account for future acquisitions. In practice, it's closer to ninety seven percent of the proceeds with three percent held in reserve for underwriting fees for the initial public offering operating expenses for this back to cover due diligence cost legal accounting et CETERA. Whether they approve the acquisition or disprove, they don't want to Spec to go forward with it. The. Second thing that they are voting on whether they wanted to liquidate their shares in this back they have an opportunity to get out at the net asset value of the trust, which is the value held in the escrow account divided by the number of shares. Outstanding. If more than fifty percent of the shareholders approved the acquisition and less than twenty percent of the shareholders vote for liquidation. Then the transaction is approved and the target firm is listed on Stock Exchange. If more than fifty percent, approve it but more than twenty percent want their money back. Then this back is also liquidated.

there's actually money in that fund in my name okay okay okay and is part I'm not familiar with the name Pershing so is that a larger firm or that he's supposed to be a part of a local branch of or is okay well until the end of June there's not a thing you can do actually mathematically to combine this at this stage of the game but between now and then I want you guys working on a plan where beginning at that date your first goal is for you both to graduate with no more death how grand if you can pull that off between the two of you meanwhile everybody working all hands on deck everybody's doing everything they can work all combined finances were married after June and we're gonna both get through the remaining of our school without anymore that that's so that's a win if you can just freeze the twenty four and deal with that after graduation and pay cash for this point forward that's a big win her win would be if you could even do that and reduce and reduce our debt but Sony Skips E3 2020! Does Sony Even Need E3?

"Are are doing a Sony event? We saw a story about this recently. They are doing a Sony playstation experience in the store from now until mid February. Sorry right until you off the PS four this sort of reaction videos have just replaced that crowd thing and you get the same exact result but with a controlled piece of marketing that yet. But I liked it. Like Nintendo world store is like there's a bunch of toys and stuff like it's a toy store it's all Nintendo anybody in their loves Nintendo. You can go to the Sony store like buying a Bluetooth speaker. And there's a bunch of people losing their lose out mine. I crash bandicoot total tangents. My Dad used to work across the street from the Sony store so whenever it was like the summer and I'd go in for data the New York City with him. I'd go over there and on one side of play these new exciting games on the PS three. And there's a starbucks there and I can get a cool Frappuccino. Ali Play but also on the other side you can watch crouching Tiger Hidden Dragon massive. TV Vietnam have. You considered a micro. Yeah it was like okay. I don't really WANNA laptop. Just WanNa keep playing guitar hero. But I'll do this so we'll see if they turn that they do have another Sony. The venue in New York that they use they might start to do stuff. They're more frequently will see also kind of shifted a bit to being more. You're europe-centric yeah there's there's games com which is massive vendor's Paris Games week which they've had a big presence before I still felt like they want to spread things out. They're going to be a Taipei game show and a couple of weeks. I've heard from like insiders and friends at work at big publishers that e three the press conference planning and rehearsals take place months and months. Show like the the writing and this and the opening and also the amount of moving parts and something like that were at a game at the last second will be like ooh. We're not ready. We read the e three and comecon live show for Aegean and it's like it is nerve racking and it is a lot of planning and inevitably fifteen fifteen different things go wrong every twenty minutes. Yeah yeah and that's without an audience on hand out like the scale of that without people from all over the world coming into like work on it and so we don't have like exclusive world. We're like a dog and pony show by comparison ethic they're like we'll have corpses hanging from the ceiling and then we're going to have the entire crowd walked to the next theater hitter. A bunch of bamboo forest. What now i Sony can control it? They can make sure nothing. Weird happens like that ever again unless they want it to and so the thing is when they. I pulled out of three last year. We were all bummed but that was also because it coincided with them pulling like ending essentially sunsetting sidelining. PS X. for awhile and and so all of their sort of direct connection with like some sort of actual living breathing audience was gone in the same year and we got the state plays blaze which is a great sort of like replacement. But we didn't. We didn't really have anything that was sort of just like here's an event. Yeah and there's no humanity to Sony right now like no disrespect to all the people working there of course but in the same way that Microsoft can bring out Phil Spencer and instantly. The xbox audience knows him or I mean there's countless executives at Nintendo but doug bows. We're now Beltran so many other people especially tree house. They saw me a moto kicking. He's still pops up every now and then. It was like I went fishing. Here's a new fitness game. And this this Sony statement mentioned are focused on making sure fans feel part of the playstation family and have access to play their favorite content. I would hope that means a bit of a more face to face ace relationship. Obviously her host is now the head of worldwide studios. Shuhei has taken a different position when it comes to indies. That's his focus for now and we don't have laden anymore. He obviously he was but he didn't really have this persona for the he for the Playstation audience. Excuse me he would come out maybe twice a year and I ah. I think what's crazy about all that is I think that they they will once again someday. kind of like bring that back up and or maybe not because it's like maybe that's not necessary anymore. Yeah maybe you don't think it distracts you don't need like sort of like you know not like just sort of like a celebrity figurehead or something. I don't know if that's even unnecessary cool. Yeah exactly I mean. We went from like a man and abandoned. Who'd costume to like pretend businessman with Kevin Butler to like actual businessmen who'd come out announcing maybe their job should be to do the business stuff than to come out and show stuff? I don't know it's no. It is odd that people who are in very executive high level roles. Also have to in this this field be a persona and out there. That is a very unique thing. Yeah Yeah I mean no matter what like you need. Somebody needs to count at the game awards except apt something for something event right and a lot of times. It's people who are behind the scenes making art all year and music and mission and they and they're like thanks you you know as opposed to. I mean like if a one brothers movies when a movie wins at the Oscars the president of Warner Brothers doesn't come out on stage right whereas like Phil Spencer would probably come out on stage for an next big win for you'll get a director and actor who's used to working in front of a big room full of people on. Yeah Yeah No. It's it's really interesting. I think one thing I wanted to say was I think this makes the Sort of Kind of cat and mouse game of chicken with xbox all the more fascinating in terms of who says what and when when we'll get pricing announcements on next console stuff is now totally up in the air. Yeah and I do want to get to some thoughts about when the timing of that will be. I did WANNA ask one other sort Sony thing before we jump ship to another topic but in terms of what he three his representative for a lot of people that has been. A few weeks back with the last of us but like that's obviously one of playstation the biggest games that are probably be a spot for that in the Super Bowl or championship game. That'll be the first time a last of US fan probably hears about the last of us just because of the way they're tuned in the industry. Yeah you can reach people a lot of different ways now and it doesn't have to be at three. Yeah you have one hundred plus million. ps four is out there. I'm jed Kim in for. Molly would. It's spring, which means it's time to clean your winter. Clothes and storage swept and mopped cleared up the gutters. But what about that laptop that's littered with ten thousand photos unsorted documents and a barely visible desktop since digital storage space is so cheap. It's easy to keep amassing files. But that can take toll on our work in our wellbeing. Deb Lee is digital productivity coach she helps people weed out the virtual messes they've gotten themselves into we after what makes people finally give in decide to declutter. Well, usually there is some sort of a pain point. You can't find what you want. Maybe you're wasting time looking for what you want or you just can't seem to focus. So there's usually some sort of pain that triggers the desire to start getting things organized and putting things in order. How is doing a digital declutter different from doing declutter of your house? Well, the good news is that it's not that dip. Different. It's pretty similar. You still have a goal that you're trying to achieve most of us have things that we're not using. Sometimes we have duplicates of things because we couldn't find the original thing. So we went out and got the next thing. Right. So it's a pretty similar process. You have duplicates of things you have things that are just sort of lingering on your on your device that you're not using taking up space that you could use for other things that you are using or want to use. You know, how many times have we tried to take that photo? And it says up you're running out of space. Are you can't take that photo? Right. So that usually becomes a pain point. And then we recognize I can't capture these really important moments in my life because I've got all the stuff that I don't use. Or I don't need any more. What you find is the hardest part to declutter what it goes to our digital lives. I think it's the process of trying to fix it that perhaps sometime stops us that fear of goodness. It's going to take all day or take too long for me to manage this. I think that's. Where some of that reluctance to tackle it comes about. And sometimes when it has to do with things like your photographs they come with memories and special memories. You know, we sort of we feel attached to them. We remember those moments when we look at them, and we think well, we can't get rid of this photo. But if it's the fifth iteration of the same photo, then yes, you can so to make it a little bit easier. Start with those things that are obvious those duplicates or the the blurry photos or the ones where you can't make out. Exactly what it is that you took the picture of anyway, or those burst photos where you hold your finger on the phone so long that it just takes five hundred at the same time. And I know that because that just happened to me recently, but it's easy to delete. So definitely make deleting in Pershing sort of a regular habit. So it doesn't feel so much like a chore deadly is a digital productivity. Coach I asked her about her personal habits. And she's got a simple tip. You know, the home screen that pops up when you unlock your smartphone. She keeps it completely clear of anything except a calming picture totally stealing that. "The funding runs Pershing square has invested nine hundred million dollars in Starbucks and ackman Noche ranking violet. He said that he expects shares of Starbucks to double in the next three years. I will just say, from my standpoint. This is the single biggest holding I have in my portfolio is Starbucks and I do not view this as welcome news. I just I saw this, it's the curse. It's not even. It's not even so much the curse, but I just sort of thought, you know what? I don't need that right now, and I'm not. I don't even work at Starbucks, but I just thought if your Starbucks management of your Starbucks board. You're looking at Bill ackman saying, well, I'm here. I've got some ideas. Let me share with you. The wisdom that I shared with the people at Cipolla took steak there and Burger King, and you know, I don't want to dump all over Afrin. Even though I just have many because the guy has had some success. But this this just seems like ultimately more of a distraction for Starbucks management than anything. Positive. I agree. I think Starbucks is a business. I'm not. I mean, I'm sure this is. I mean, he's he's in investing in less or a little over one percent of the shares. I gotta feel this got to be a passive investment. I mean, I don't know what value he thinks he can add. I mean, in my mind, Starbucks is a business that has a pretty clear trajectory. There's not really a lot wrong with the business. I know growth has been slower for this isn't a business where I think ackman's coming in saying, oh, here's a problem, or here's something that's undervalued that I think I can create value or add to. And again, I. I don't know why we have to keep talking about Bill ackman. He's definitely a newsmaker, but you start you start telling up the MRs here over the last decade starting with target herbalife and then value pharmaceutical, which was multi billion dollars. I mean, the JC Penney. Right. I mean, it just the list is building here, and so I share your discomfort as a Starbucks shoulder as well. I'm not sure what Bill ackman actually brings to the table anymore. I think he's just looking for an easy win. Frankly, I think given the stretch that he's had and you just listed off some of his Villier failures that will in all of them. I mean, he's had a really tough gov lately, and and I think frankly, he's just looking for an easy win and we were talking about this yesterday. I think it's easy enough to get out there and make fun of ackman for picking Starbucks. Oh, it's no big secret. Everybody knows what Starbucks is, but that's kind of the point to really. And I think we talked about this a lot that really at the end of the day, those great businesses, they're not secrets. They're out there right in front of us since. I mean, he, he in the reasoning behind this. I mean, he listed off a lot of qualities that really we like. The business end. So for me, I mean, I don't think he's going to go there and try to turn things around or shape their strategy whatsoever because he certainly has a history of seeming to think he knows more than he really does in Starbucks is obviously very big company. Obviously, with with management, they're already said on a strategy, I guarantee you, they know more about the business and its future markets than he ever will. So yet to me, I really just think he's looking for an easy win here in that can't blame him. Starbucks is is a is a good business. That's when we like a lot here, and I think that you can hang onto a free longer than three years. Then you'd be better off. You think a doubles, like totally route I would love. I would love to be sitting here three years doing this show talking about how wrong I was to doubt Bill ackman that Starbucks shares had doubled in a three year period. It's such a mature business at this point. As you said, Mattie, the trajectory for Starbucks is pretty clear. If I the bet I'm betting it's higher in three years, but dub. It's a seventy seven billion dollar company. Yeah, I think to me, Starbucks is more of a a total return story. You're looking at dividends looking to buy backs. You're looking at a little bit of growth on the top line. You're looking at what they can do in China. But yeah, double in three years again to for that to happen, there has to be the dreaded financial engineering or something like that. That kind of does that. And you know, acting kind of does bring that to the table. I hope that's not the case to me. Starbucks, steady, ten percent, return her business. Certainly not a double in three years. I'd love to see it, but I think it's also worth remembering too. I mean, Starbucks is probably a witness a little bit more on the expense line there as a pertains to employ ease because they continue to revamp the benefits that they offer. I mean, just a recent example here was was the childcare subsidy, and I think they're, they're expanding that they're expanding that offering to every employee in the company. So I mean as an investor, I think you have to applaud that as a as an employee. I'm sure you'll love that it does it. Perhaps tamp down potential returns in the short run. Yep. Is that the right. Thing to do? Yeah. I think longer term it gives the company more opportunity to succeed to grow in. So those are good things, but we'll definitely play into that returns projection over the course of the next three years. I mean, fifteen percent annualized over the next three years or well, no, you're seeing double over the. Twenty percent. Yeah. Fifteen would be five years that seemed like a really hot hurdle very hurdle. You mentioned financial engineering. I'll just say this. I've never sold a single share of Starbucks in all the years.
