Why Was Embraer Left at the Altar?

"The collapse of Boeing's four point two billion dollar deal to acquire an eighty percent state in Embraer's commercial aviation operations has sent a jolt through an already grilling industry here to talk about it. Our Aviation Week Editors Jens float out and Michael Bruno Aviation. Week guest columnist. Richard Offiah of the Children Mike. Let's start with you. Of what the heck happened. Boeing kept saying this deal is on on on Sundays off. Yeah and that remains the four point. Two billion dollar question is what exactly happened. we can all surmise as to what might happen but You know to give their you. GotTa review the chronology of events so Let me take you back to December. Twenty Seventeen When word leaks out through the press certain with Wall Street Journal that Boeing might be looking at buying embryonic or at least some part of it. We really were quite sure at the time. But there was big news. Leaking rumors going around and that was not necessarily to be unexpected. Since Airbus did Secured Lombardi the series from Bombarded and so You know it was Slightly expected them. At least the two sides were exploring this. By the summer of two thousand eighteen they reach him memorandum of Understanding over the terms of the agreement that was originally going to be more. Expensive deal for Boeing. Perhaps as much as four point six billion dollars but the price eventually get ratcheted down to four point two by the end of twenty eighteen and then they were among the formal path of trying to get this acquisition approved by everybody. When I say everybody I mean just about everybody had to approve this deal one way or another whether it was regulators in the United States in Europe in Brazil. Of course you might imagine that There was a lot of resistance to giving over the crown jewel of the aerospace industrial marketplace in in Brazil to a foreign owner particularly in the United States and so that had to go on political lines of judicial lines. There were a lot of lawsuits than etiquette resolved. Finally we're getting to the point where it was Pretty much just a matter of when not if this was going to happen. And then all of a sudden the EU regulators Decided to push back their approval of the steel and that sturdy to open up questions as to whether this deal would actually take place and even as that was happening through the latter half of last year both sides on the industrial point. Emberg Boeing. Were saying that they were pretty sure. This thing was gonna get approved any day now by the EU the last regulators to approve it and that basically they were ready to sign the paper and call it quits and move on as a single company and then. Kobe nineteen happened. Of course amd we can go off on a tangent of of how the sense. Some pretty much collapsed. The air traffic industry as we know in bringing down the manufacturers to a related degree but luxury short four point. Two billion dollars that Boeing doesn't spend is really for point two billion dollars naked really really us better somewhere else and while we don't know exactly what the terms were. That couldn't be agreed to in the end just last weekend. On April twenty fifth Boeing announced that it was walking away from the deal embry ourselves. That was a mistake in that they were going to pursue alternatives to try to perhaps force bowing to Back to the deal or try to pay some kind of compensation for it and that's where we are. Now there's there's no deal there's only m recriminations and accusations and we'll see what happens next Richard. I'd love to hear what you think about what might have happened and also wrote in your column about winners and losers from the deals collapsed. You WanNa tell us what you wrote. Yeah you know. I think there are four principles involved here and obviously what's Embraer's lost as Airbus's gain and to a lesser extent Mitsubishi? But basically the name of the game see get. Embraer's costs down in line with the larger. Oem's and the way to do that. Of course is what the kind of aggressive by Jane Management? That only a big company like Boeing. Or Airbus can do. That's what made the series a success as the twenty in Airbus's ends. That's what I think would have really helped each series. Allot in billings hands. Embraer doesn't get that benefit and they're up against somebody Airbus that does have that benefit so there's a pretty clear loser a pretty clear winner sort of tangential winners Mitsubishi. That I think really did not relish the thought of having to compete at the regional level with Boeing backed product. That would have been really painful. And now it's going to be more of appeared. Appear to small air framers going head to head sort of situation So the big question is is Boeing. A winner or a loser. I'm the one level exactly as Michael said you know. This is four point. One billion or so that's been added to their rather beleaguered balance sheet. That's not a bad thing And there's also a little bit of additional political risk in Brazil these days that they're avoiding Whatever management challenges associated with bringing this unit online? That's avoided too but on the loss level you know. They're kind of being boxed in by Airbus on the single-aisle front the 737 Max aid is doing fine. When it comes back to service but against the eighty three twenty one neo at the top of that single market. They're losing very badly and now they have exactly nothing to respond to the bottom of the single end morale market to at the twenty level so basically boy is fast becoming a niche company in the single market arena. That's not a good thing and of course the idea of joint venture with the Casey's re ninety might have had some promise in terms of selling into the US dod market depending upon. Who you believe that joint venture to might be at risk because of the fallout acrimony associated with the end of the jetliner. Jv So it's kind of a mixed bag One you know significant loser. That hopefully can recover two winners. Airbus and Mitsubishi and expect for Boeing.

This is Kinda what Jackson Mitsubishi. You're doing together. They're gathering information the figuring out where Mars came from. And then we're going to send more probes of course because that's what we do and then eventually will send people there to get more information about the planet now. Mitsubishi has been around for a while. The space probe will have numerous features. It stopped existing space technology. Such is trajectory analysis in orbiting development which Mitsubishi Richly developed for the slim's high precision landing system and the HTV's guidance navigation and control systems. There is new precision. Landing technologies four touchdown on unknown terrain. Because we haven't really mapped these moons yet you know. We don't have complex maps of the moon of these moons like we do of armone. We haven't really been there a lot so together samples from these Martian moons. The descent and landing will use a built in camera and pinpoint landing technology. Developed for the slim and multiple landing attempts. Gravity will be possible using newly developed shock absorbing mechanism in unique landing gear. So they're gonNA make some landing apparatus for this probe. How cool is this? That we're actually sending things to the moons of another planet to land on the moons of another planet Jaksa. I love you. You're crazy in love it. It's amazing so there's also going to be a lightweight designed with three module configurations so the three module designed Which is a propulsion module for traveling to Mars in the vicinity of Mars? I should say an exploration module which is equipped with research payload and return module for the journey back to our mother planet earth and it will enable the Mex- to reduce its wait for more efficient operation by disengaging the propulsion module and later the exploration module once they're purposes finished so but by by disengaging those modules so the design of MS Within the capability or the capacity of the launch vehicle the rocket and optimum travel played will be devised to minimize the amount of necessary propellant. Which accounts for more than half of the total launch weight? So how cool is it? That Jaksa is sending something to land on the moon of our red neighbor Mars. I think it's absolutely amazing that this is happening right now and when I get more information about this landing I will make sure that everybody knows about it so this is kind of a kind of a crazy thing. The launch date is scheduled for twenty twenty four between April twenty twenty four to March twenty twenty-five so we have a little bit of time before this and the flight profile is a single earth. Tomorrow's round trip. The weight of the probe is about four thousand kilograms the misinformation five years. It will arrive in around Mars in Japanese fiscal year. Twenty twenty five and returned to Earth in Japanese fiscal year of Twenty twenty-nine the mission objectives for this are established technologies required for round trip between Earth and Mars develop advanced techniques for sampling and astronomical object establish optimal communication technologies between Earth and the Amex probe using newly developed ground station. "A big name in business news today is General Motors which is taking a billion dollar hit. In order to scale back its global operations. The company has announced its retiring. It's iconic Australian car brand holden which means it will no longer sell vehicles in Australia and New Zealand. With the exception of Niche specialty cars. The company is also going to stop selling chevrolets in Thailand. The big reason GM's ambitions to sell more electric cars marketplace's Marielle Zegarra reports twenty years ago about one fifth of the new cars. People bought in Australia were made by GM. Now it's less than five percent and the numbers aren't much better in New Zealand. Carl Brower is executive publisher at auto trader. The buying tastes in those markets shifted. They shifted away from what General Motors offering to what competitors are offering competitors like the Japanese automakers Toyota and Mitsubishi also for GM selling cars in Australia New Zealand and Thailand. Came with an added cost in all three countries. People drive on the left side of the road and the steering wheel is on the right side of the car. And that's not a small deal because you need an new dashboard. You need to reconfigure the entire Steering System. Which of course is next to the engine and transmission. So you have all kinds of changes under the hood as well. Bernard Sawicki at the Center for Automotive Research says. Gm doesn't want to spend the extra money on engineering and making those cars if it's not gonNA sell that many. He says the company's decision back out of the region is part of an ongoing strategy. Gm really has been very focused on eliminating lines of business where they don't make a satisfactory process the company's trying to save money because it wants to ramp up its production of electric cars and Sam Fiorani at auto forecast solutions says that transition is going to be really hard for a company that's primarily been making internal combustion engines for a century. Now have to change the entire supply line. You have to change the entire development process and so it's going to cost a lot of money and it'll take a lot of money before they're profitable. "Is how my obsession in with cars specifically Mo- pars came to be enjoy. The first few years of my life were spent in Mo- parts but not the ones you would typically expect. I didn't actually grow up around mope our muscle cars by the time I was born in one thousand nine hundred five. My Dad's sixty nine dodge dart was long gone on. So instead of a body mo par grew up around to Mow Pars. That would shape how I feel about transportation the rest of my life. My Dad traded in his his dodge dart for a brand new black. Nineteen seventy five tradesman cargo van and he became a banner he went from cruising in his dart in going on the street races and is cruising around having a good time to trading that in getting a van a cargo van to join the van mccrae's so he customized that van from the ground up. Porthole Windows Louvers big spoiler on the back that It had a yeah. It was a really cool looking spoiler. Fender flares sunroof crushed velvet interior with shag carpet tinted windows big side pipes and appliance steel. Spoke wheels come to think of it. I said on the episode where I talked about my Dr. They might dad's car his Dr had reverse crackers on it but now that I think about it I believe they were actually appliance steel spokes. He had already built his van and I think he just wanted to have some fun again behind the wheel because vans aren't that Nimble and I think he just wanted ended a fun little sports car because at the time he was taking me so we live in western Washington At the time we were living in Seattle and my mom lived in eastern Washington so every weekend my dad was driving across the mountains and he needed something that was reliable and good on gas or better on gas than any van. That was going over there or anything like that so he ended up getting a black nineteen eighty five dodge dodge Daytona Turbo Z. It had louvers just like the van and funny enough louvers or making a comeback. I've seen a lot of these cars running running around with louvers on him including Mo- pars so I think that's pretty funny and I guess it just goes to show that history does in fact repeat itself. The Turbo Z was black with the red pinstripe. Sun Roof it had the louvers like already said a manual transmission and my favorite part of the car Chrysler's electronic voice alert system. If you don't know what. The electronic voice alert was in Chrysler cars in the nineteen eighties. Look it up on Youtube. The car had a robotic doc. Eighties voice I mean. Think nightrider okay. I and I'm not kidding. So it has this eighties robotic voice. That would alert you to things like low oil pressure low fuel Low Windshield washer fluid and it would tell you to fasten your seatbelts and it would even thank you for doing so. You have to understand that so it would say like warning. Your oil pressure is low warning it you know so. It was hilarious like thinking back so eighties like so eighties. But at the time you have to understand that that as a kid this was nothing short of magic. This was a talking car. My Dad owned nightrider. Only this was cooler because it was dodge Daytona Turbo Z. I remember bragging to the kids at school that my dad had a talking car and they all laughed and said I was full of crap. How Dare I? I knew what I knew and I knew it was true. The fact that they didn't believe me made the car even more special to me. My Dad must have had the coolest car on earth that nobody else had. My Dad clocked over a hundred thousand miles in that car. Basically in three years from all the weekend trips to visit my mom a couple of hundred miles away how he logged. That many miles is a long story but I spent a large portion of my youth on the weekends driving in that car in the back seat. Speeding we're getting pulled over in. That car wasn't wearing a seatbelt. I I was standing up in the backseat and we got pulled over and you know. Hey Hey dad make sure. I'm sitting down with my seatbelt on at least you know but You know it was a different time. Then road tripping is definitely in my blood I love it and I think a lot of that stems from all the time spent in the backseat of that Daytona. So it definitely holds a soft spot in my heart because I I spent so much time in it. Yeah here's a funny memory a few years after the Daytona was traded in on something something more practical for our weekend road trip so a conversion van that my dad bought I was in second grade and there was a show and tell for the class. Now Mind you. We hadn't had the car for a while at this point and I insisted on bringing a picture of the Dodge Watch Daytona Turbo Z to school in the second grade for show until I just wanted to show off how cool the car was and I had my whole will spiel down. I was GONNA explain why my dad's old car the turbo that we no longer had was cooler than any of the cars. Those dorks could possibly even imagine in. This car was out of the future. It talked for. God's Sakes I had a great case to make and I did just that to about twenty blank stares. No one gave a rip about my story or my dad's car or anything like that. In fact I remember everyone including my teacher. Miss Davis looking at me confused. Everyone else had brought in toys pets little trinkets and knickknacks. And I rot in picture of Mike. Tad's old car. It was that point that I realize it. They were all dumb and I was a car guy. I didn't even know that term existed. Then all I know is that my enthusiasm Suzianne for anything that could be driven started as a young boy and followed me into manhood. I was absolutely obsessed with semi trucks and cars. It's no wonder nearly three decades later. I would not only still be a car guy but that is also be driving a truck for a living. I'm a commercial vehicle driver. I guess it was destiny. Lebaron that my grandma who I knew as Nanna drove all the way up to the point that she could no longer drive. We even traveled halfway across the country in that car. I spent a lot of time in that Chrysler as a kid. Next to the Kenilworth I would drive later in life. That Lebaron Barron took me to more places in this country than any other vehicle in my life I was never too fond of it though but I associated. My grandma with that car are so in a way it was very special to me and my dad's still has it. As I grew up in gained more knowledge I realized what at a p O s that Lebron was because it had a two point six Mitsubishi engine in it what a disappointment that was what garbage garbage it was.

Steve, good to see. So the Nissim says that could be -tunities but it's this is just another headache for the company, which is roiling from from the gome saga. Yeah. There's a number of ways you can look at it. First of all, I might just say the alliance has put out a statement. That's of course, I'm talking about the Renault Nissan Mitsubishi alliance. We had open and transparent discussions on this proposal. Keep in mind, of course, this proposed merger is a separate entity from the current alliance be Renault and Fiat Chrysler merging. And for he wrote the psychology the CEO of Nissan. Yeah, it's another headache. But it could be a good opportunity for him. And if he plays his cards, well, he could come out with what he wants keep in mind. He is rebuffed the overtures of Renault to merge. More of a say seven and a half percent stake with one board seat and voting rights. However, you flip that around and look at what the new entities car sales would be they would be what eight and a half plus million vehicles, a year that would dwarf Nissan on its own five million five point six million in two thousand eighteen and declining and profitability, declining one great strength of Nissan and the current alliance is that they had the key markets of the US and China, they had better profit. Correct. They will pay you a bonus. If you hit you bogey. Yes. To encourage dealers to sell more cars is if that's not what they do naturally. You're exactly right. It we we can talk about the virtues are evils of stair step programs. And and I I would say that it borders on being illegal because all of a sudden, you're not selling all the cards to all that he was the same price, which is illegal as you know, because you have the same book I have about the dealers day in a court act.
