Of people, citizens of the state of Nevada who have either sued Mandalay bay or have announced their intention to sue Mandalay bay and a declaratory judgment action. We've talked about this on the show before, but it's it's worth going over it again the best way to explain what a declaratory judgment is start off with what it's not right. We've talked about how ninety eight percent ninety five percent. The overwhelming majority of lawsuits are lawsuits that are about money, right? When you get hurt. The reason you bring a civil lawsuit is you get recompensed for your injuries by the court awarding you money. In a small number of instances, money damages aren't sufficient. And in those cases you seek injunctive relief. And we've talked about that, and that's why the standard there is a reparable harm. And again, I know this is this is old hat for you Thomas, but we have we. Irreparable harm means cannot be repaired with money, right? And that's that's what irreparable means in the law. So they're parentheses, but money wouldn't hurt as that goes. Right? Yes. I mean, when you allege reparable harm, you also still ask for the money that that there's sort of a side like nothing could possibly fix this money wouldn't start. It would be yes, understa and then there's a tiny. So if that's a tiny minority of cases where you can seek injunctive relief, it's an even smaller subset when what you ask for is declaratory relief and declaratory relief is exactly what it sounds like kind of strangely enough. It says, I want the court to decide whether I have a particular right, and declare it and tell me that I do. So let me give you perfect example that this is declare bankruptcy just that. That's exactly right. Ten. Gosh, almo- almost fifteen years ago now. I had a client that had a vendor that was in my clients view, not living up to the obligations under the contract, and there's a, there's a confidential aspect of the settlement here. So I'm I'm trying carefully not to identify anything that would breach was Callisto Flockhart. He doesn't wanna say, I think I'm Pete right? Allie mcbeal times. Right. Sounds like. Yeah. My client was an was an institution that that provided certain critical services, and they had a vendor that was sort of a key cog in the machine that was signed up to a multi year contract, and we believe that that vendor was not doing its job and when you have that situation, right, we could have done any number of things we could have just stopped paying the vendor, right? We could have said, hey, you haven't done your job. We're not gonna pay you anymore, and that's it. But we thought there was some ambiguity, right? We thought it's possible that if we just stop paying them that we will be have been judged not to be in compliance with this contract. And so we went to the court and we said, hey, we wanted to clarity, judgment as to whether they have breached this contract or not. And. And then you, you have to comply with the legal standard. You have to show that there is a live case or controversy. Yeah. Look like we've sent them letters. We've told them, you can't do this anymore. They've continued to do it. We think we can terminate the contract, but, but before we do that because we don't want to be in any way, we don't want to be accused of having violated the contract ourselves. We're asking you the court to tell us what the rights of the parties are, and that's what it declared toy judgment. And that's all that Mandalay bay is asking for. They are saying. "But so as part of that requirement, the safety act then also created a new federal cause of action. And we've talked about this before the federal courts under article three, which we read at the start of the show. They do not have original jurisdiction for claims. In other words, you have to have a special reason to be in federal court. One of the ones that we talk about all the time is diversity jurisdiction, right? So you haven't claimed that otherwise would be in state court, and but because you're be parties are in two different states and you meet the amount in controversy requirements. You get to go into federal court, right. In addition, you get into federal court if you have a federal cause of action protected by federal law, right? So that's what this this says, okay, you get to bring a lawsuit in federal court, and that lawsuit is covered by six USC section four forty one, and and then on. And, and essentially what it says is if you are somewhere that is protected from terrorism by a seller of qualified anti-terrorism technology, and then there's harm from. Terrorist attack than you as a plaintiff. You have to sue that qualified anti-terrorism technology provider, and you can't sue anybody else. Okay, so that's what that's his forty terrorism technology like a force field that stopped all. Yeah, it's it's, it is procedures and and technological devices that are intended to screen out against firearms. So it includes, you know, setting up metal detectors include setting up, you know, security perimeters, right? Like that's just the the buzzword that they've used to describe this intermediary that comes in and says, hey. We've stepped into this role, right? And created a new market, right. So again, you know, you see how we've talked about this as kind of compromise legislation. One of the benefits to the corporate Republican side of the ledger for this was you create this brand new market whereby if your private security company and you want to take the risk that you're going to get sued under this, you can step in and all the lawsuits will go against you. But also you now get hired by all of these companies that want immunity from lawsuits if they're in an area that might have you know that might potentially have terrorist attack. And I mean area not geographically. I mean, if they're providing a service where it's conceivable that you might have a terrorist attack and then the the crucial aspect of this. There are some limitations in the act right at it prevents you can't allege for punitive damages, so that's another sop to the to the to the right in. This act and again, remember I mean, this is George W Bush conservative president with a conservative congress, right? You know. So in post nine eleven actually I said, I don't want another. Andrew was wrong here. The congress in two thousand and two was I believe, still controlled by the Democrats, but it was post nine, eleven and. And Democrats were rolling onto their back and showing their bellies at at this point in time. So in any event, conservative president signed this this into law and you might expect it to tilt to the right. So in addition to limiting some of the recovery, it also provides that this is the exclusive remedy for any such activity. Right. That's in subsection a two. And then in the implementing regulations, the code of federal regulations that explains how this law goes into effect. It says there shall exist. Only one cause of action. Such cause of action may be brought only against the seller of qualified anti-terrorism technology and may not be bought against the and may not be brought against the buyers the by the buyers, contractors or downstream users. The seller suppliers are contractors or any other person or entity. So in other words, all of your lawsuits have to go through this seller of Kuala. Defied anti-terrorism technology. Now, how does that relate to Mandalay bay. In the case of the route ninety. One concert certified technologies were that that Mandalay bay is alleging complied with the act were deployed by a company called contemporary services corporation, and they were the security vendor for the route ninety one concert.
