"Mean you hear the horror stories of corporate raiders who come in and you know by Mississippi fire everyone, but also not our approach. Because they care about that. The these employees in many cases if they're not family members have become family members because they're they've been part of this business that they've run for years and years. So they care about what happens to those people. So we'll talk about that, and then we'll talk about the process if we were to proceed here's what you can expect. We're going to sign an NDA. We're GONNA do evaluation we would kinda give them the step by step processes what to expect and we try to be pretty. Upfront, what businesses going to be taxing? It's going to be difficult. It's going to be time consuming. You're going to be frustrated from time to time just really trying to lay the groundwork for what they can expect if they continue to take the steps forward with us so that there's not big surprises. They're certainly going to be surprises along the way. There's no way to avoid all of that but just so that they can get a sense for what it is that they might be stepping into if they were to do. This, so that they can walk in and make decisions with Eyes Wide Open Bull. So basically you kick off as meeting with an overview, introduced her company, and then get into a bit about your actual approach in when you mentioned preserving some of the heritage of the company and things like that. It sounds like you get into your overall process. If you're generally interested, here's a process or as involved valuation. What that local I can start addressing some of the concerns early and also give setting expectations. This is an easier walk. In the park. Not GonNa hire people to do it. You'RE GONNA have to spend a lot of time and effort, and then I guess in terms of what you're looking to learn you mentioned some of the post close is this management staying this person's going to be around because that's important to you. Is there other things that you're looking for at that point? I know a lot of chatter around culture and people started talking about that is that something I mean not really I, mean that backstage and it's hard to assess. Just about that. was a complete asshole were not going well yes. We definitely have had that we've still got ahead a dead those deals by the way, but you can sort of assess things on from that perspective. But in terms of the the broader employees basically is pretty limited access early on. So it's a little hard to evaluate. We do look they'll take us on a tour. We just visually observe it. So you can glean a fair bit of information by just walking through someone's garage. So how organized is it? There's safety protocols that we follow being large company. Obviously, you'd want to mitigate your risk, and then there are some regulatory things that are technically not optional. Some people don't follow all the rules because they can't afford to or it's something that they've had on their to do list, but never gotten around to. So we'll look for a few of those things just early on. Are there some red flags that may not be things that we would necessarily say, oh, we're not going to do the deal because of this also. We start to come aware of what are the are risk factors, and if we were to be able to complete a deal what would be the we would need to really pay attention to. As. We think about integrating of business and mitigating our risk. So if we can do cursory walkthrough of their facility, maybe they'll take us onto a couple of buses. You can start to tell a fair amount about how someone runs their business when you look at those kind of physical manifestations of their business and we'll talk about their customers. We'll ask them who are your key customers how are your relationships with them if they'll share information about kind of contract tenure in it? All depends on what they are willing to share. But if we can start to get a sense for you know how concentrated is revenue? How secure the revenue, our customer relationships, how long they've been operating for the school district for the transportation? Agency, that are there key customers? We'll start to get a little bit of a sense about what we're dealing with extent when some cases really try and validate if this was a business, we really liked now that we've had a little peek. Still Labus that we really like. Then then when you go through that process, you're having this conversation you're learning about him essentially building up your level of confidence in doing the deal. Then you sort of say, Hey, let's formalize us a little bit before you start really putting an offer you WanNa start looking at the hood and that's probably when you get an NDA I already got a request. Your view would share your initial diligence request prospecting. Do you start putting that together at the same time? Here's an NDA here's initial diligence follow yeah it depends. But in many cases will send that NBA. Will get that through the legal rounds. We'll get it signed. We have our forum we prefer US forum as a few things in there that we like to make sure we have in the NBA and then as soon as we get that back and it signed way, then do send our list of fifteen things that we're looking for in terms of evaluation, and then they'll set about getting those things back to us, and then we'll start putting them on model together. As soon as we start getting information, the other fifteen things memorized I sort of mentioned earlier but let's say. Quince for me. So Tatra turns last year's financial statements. Ideally, those are internally produced an excel because much easier for us to work within a model scenario audited financials. If they add them a fleet list, some people get a little skittish on this one but an employer roster even if the anonymous it, that's helpful. Their benefit package property details address. Really what we want to know there's either do they own the building? What's the rent they own the business and the? Property what charged to the business or what they think a fair market rent is we'll ask them for a clear again is where we have to sometimes translatable lasted for normalizations or expenses that run through the business that would be considered ordinary course. So honestly, we've seen everything from boats to planes to personal cars to all sorts of things that rubs through these businesses or the different grandma's insurance and suburban. So anything along those lines that would not continue what am I? Eat or nine there. Oh Insurance will ask for details on their show, not the policies themselves, per se but we will ask for some insurance details. There's a couple of others, but those are the big ones. The definitely helpful when you do that, then you're going into in your hands and doing valuation model try. Yeah. So we put together a ten year model we project on the business. Well, what of the other things? It's if they have a budget for the current era I have a longer at. Business don't have this. But if they have a long range plan two or a three year, long range plan or a long term budget, we would ask for that just to get their understanding of what they think things are worth Oh. The other thing we ask for as customer contracts if the customer contracts we ask for those. So we can review those because that'll help build our revenue pretty detailed and so yeah, we put that model together in that we calculate our own internal return metrics we do more or less a DCF and then. Come up with the bills whereas based upon the things that we're seeing and in that were needed to make assumptions. Maybe we have some follow up calls with them. If there's some clarifying questions, they may be all the helpless dancer to there may be a little bit of back and forth in there. But eventually, we arrive at a number honestly, about point it becomes a little bit more of an art than a science. If we think the number looks like something that upon the conversations we've had looks like something we think someone would bite out. We'll go ahead and figure out the best way to deliver inoperable put an offer on the table. If we come up with a number like what we had to add all these expensive because when we toured the facility, we saw all these things that were wrong with the business, and so we have assumed x million dollars a year in additional expenses, and we just can't make the number work then we have to. Decide. Okay. We want to go back to the seller and how to conversation either about book we run the numbers. Here's the valuation or in some cases we may say on review it doesn't look like it's something we're going to be interested in a range of outcomes that come from that stage gate but eventually we get to a number and then we really have to decide whether we want to do from there. My friend Jeff Garages, asking you tend to do asset or share deals in your market. We do almost all stockdale's the reason for that is a couple of one is we want the customer contracts and so you can do an asset deal, but then you have to go through and get all the customer contracts assigned to yourselves as the purchaser, which is in most cases. showstopper. It's a royal pain in the but a long term process plus than you open up the risk of someone saying well, I. Guess if I'm going to sign the contract. Maybe, there's a clause in there that they'll just take our fee on it shakes the business loose in any event, and then the value of the deals significantly degraded. So for that reason, we do stock deals outweigh we get everything and then employees. It's a big process for us to especially.

Obviously we talk a lot about kids and Talking about if you stay in touch with your kids are interested in. You're always going to be ahead of it and so with radio eighty. What's much as I love doing radio and as much as I used to love getting the newspaper I start to realize there's nothing in today's newspaper? That happened today. Yes everything comes across really the quickly on your phone on your computer and your head of the game and guys like unfortunately guys who used to listen to for years like evenly Hamilton yet. His show became irrelevant. The wars more no more breaking news and his show was a lot about breaking news and and headlines. Everybody already knew the truth and knew what was happening before. Three o'clock and it it affected guys like him and his show so I started talking to my son and saying how often you watch. TV and he goes never because a matter of fact. I I don't even own a TV. This is when he was in college. Goes I stream everything and then I started needs to be a guy that was stockholder and direct TV. And I you know I have direct. TV You have direct TV in the restaurant and then you start to realize that less than two percent of the people under the age of twenty two have cable or directly cord cutter Hanae. They're not even cutting the cord. They're just never even plug in no not at all and so I started thinking. Okay well my ways old way I can sit there and be the last Mohicans. I can sit there and adjust and jeff and I I left Thirteen sixty and August twenty sixteen. I said to him. Hey let's do a podcast his answer. There's no way he looked at it as a big step backwards. He didn't understand the direction it was going. He said finally in January twenty seventeen after the chargers left. Hey you WANNA do that. PODCAST said Yeah. It's still want to do it and we we jumped on it. People always won't make comments back and forth. Who Don't understand the difference of radio and and what we're doing and Randall say well you guys haven't gotten another radio? We haven't applied for another radio. John Matter of fact I think Jeff took one meeting representing the show. I was at town and in ten minutes. He called me and said I'm not interested. We haven't pursued another radio job in before. That was the only thing we thought we were capable of doing. So the PODCAST was in demand. It got a great response It's one of those where we did radio. We had pretty good audience especially when we were at seven sixty K.. A. From being with the chargers station the padres station that when we went to the podcast ask them. We've had more than two million downloads. We never had that kind of response in radio and you sit there and he'd go. Wow this is around the world. This isn't just an ego. We talk a lot of San Gosport but around the world the response has been outstanding and it continues to grow and we're trying to follow in your footsteps with with obviously the video and the lighting and for for some reason as as much as I love to hear what people have to say you realize people WanNa see those guys actually talk about what they have to say and You're you're ahead of it I'm I can't tell you how proud I am of what you're doing because not only successful. You're very young guy. But even successful young people get bored like I've mastered the restaurant around business. What's what's the next up? I can sit there and do this. Till I'm seventy five and then handed off for sell it and Or I can find something else that gets me out of bed every day. And that's why I asked you. How do you feel about what you're doing right now? Your response was what I felt like I was meant to do this. Is Your rejuvenates Keeps you excited to say what's next. It's the most. It's it's following the curiosity path and you know we're so fortunate to have had a small business in Spring Valley that opened in two thousand eight when literally was the crisis crisis economic crisis in everyone close to me that I respect that are smart. They said don't spend your money. Don't open up a restaurant let alone. No one in Spring Valley and the fortunate thing for us was that it was very hard you know. I'm so grateful that we weren't successful when we open because it forced me to go but we need to do marketing. And how do we market. We did everything I mean. We paid for radio. ADS paid for Yellow page ads which is an old school yellow book. I mean we joined the Chamber of Commerce. We had all kinds of do things and what we found was that the most important thing was that staying on top of the Internet would was facebook at the time YELP Google all. Those things were important and not discriminating not just because I had a personal feeling towards a platform. It didn't matter because if there's people there those people could find out about barbecue found out about a restaurant restaurant and You know one of the things for me why. I was so excited to make sure that we did this. PODCAST is there's there's been a reoccurring anthem and everything that we've done at our restaurant and then what you guys continue to do. And that's it that's giving back. Yeah giving back through. Sports is something that we wouldn't wouldn't have our barbecue events if I didn't go to Derrick Marceau at valley farm market WHO's my former co host and say. Would you sponsor this barbecue competition because we want to raise money for kids who can't play sports Fundraising is very hard. Really hurt anybody and everyone that owns a business anyone that's involved with PTA involved with your church. There's always something there's a cause and hopefully it's not a tragic one. Sometimes it is sometimes. It's you know you just need equipment. Fund raising is something. That's very difficult because you need volunteers to do it Plus you need to make it easy right and for me watching what you guys did as a podcast you know for your twentieth. You could have just had a party. Forget twentieth anniversary just all the listeners. Jeff would time put all the food dude out everything at your expense. Yeah parts about.
