Or the straight. This question was about option contracts, right? So it says on January 1, a man offered to sell his neighbor, his lawnmower for $400. The neighbor was considering whether to purchase the lawn mower. So he said to the man, I can't decide whether I want to buy your lawn mower. If I pay you ten bucks, will you leave the offer open until January 5th. So the man agrees to leave the offer open to January 5th in the neighbor paid the man $10. Let me say, although not with lawn mowers and this is a very standard contract technique. This is the kind of thing I do. I don't want to say all the time, but I do not infrequently. Which is, hey, we're considering X transaction. And the thing is, if you just say no, then you have to restart that process. There's no you're at the point where you could accept the offer and that would create a binding contract, but if you say anything other than I accept the contract on all the terms that have been offered to me if you try and change it at all, it becomes a counter offer, and now, you know, there's no the other party can walk. And changes mind. Solicit somebody else. So the idea is, yeah, you pay some money and go, hey, you've offered me a good deal. I can't decide if I'm going to accept. So I'm going to pay you a certain amount of money for you to leave that open until regular point in time. And it's also more from the economics of it, the time value of money. Like if somebody's like, yeah, well, but I could sell my mower today and utilize that money. There's a value associated with delay the selling of your mower even if you eventually are going to sell it. There is money associated with that time loss. That's true, that is true. A primarily it is to avoid shifting the burden of establishing the country. To say, yeah, look, we agree on all the terms. I just haven't decided whether I'm going to pull the trigger yet. I want to buy myself some time. So that counter offer answer a, I'll be curious to hear if I blew it, and that's the answer, I don't know. So, January 2, the neighbor says, I reject your offer. And then the offer or did not take any steps in reliance on the neighbor's rejection. Then the next day January 3rd, the neighbor said, you know what? I accept your offer after all, is there a binding contract between the neighbor and the man? I always love it when you do this. Eliminated the no answers and went with the yes answers either see or I'll tell you, not because prima facie I wanted a yes answer. I just didn't like the specific no answers very much. Well, let's take a quick look. Answer a is no, because the January 3rd statement constituted a counter offer. That would be true if this were not an option contract. But in this case, paying to keep the offer open means that it is not a counteract. Okay. So plus, what would the counteroffer be? Because the January 3rd statement was I accept your offer. I didn't understand how that could be a counteroffer at all. I agree. I mean, usually a counter offer gives you particular terms, right? So I don't know that I love it as a counteroffer even in the absence of that. I'm sort of trying to expand out that. He's not a good answer. So we were good to a little kid because he's like, I reject your offer counter. I also accept it. That is true. And then B will you eliminate it? No, because $10 is not considered to be adequately consideration ahold of open and offer. Not true. And as one of the things you've learned is that in very it is very rare for courts to consider questions regarding the adequacy of the compensation. But in any event, ten bucks is ten bucks. Yeah. That's a couple crunchwrap supremes. It's like 5 crunchwrap supreme somehow. I don't know how that works. The language persists of a peppercorn. Because there used to be 13th century Saxony, the idea is if you weren't sure if there was consideration, you would write for the value of one peppercorn plus other good and valuable consideration the sufficiency of which hereof is acknowledged by the parties, the parties hereby agree as follows. That's been replaced typically today when you say, oh yeah, put in a peppercorn. That means either a dollar or $10. But the fact that $10 can serve as a peppercorn means that it is presumptively valid to serve as consideration. And think about it the other way. If this were the case, you could steal anything that was $9 or less. I agree, you know, you sell me X, I agree to pay you $9. Yeah, and then you're like, nah, not enough of a contract. No. Right, yeah, no. So B is a very, very silly answer and you were not fooled by it. So the question is is it C or D? You and the coin both chose D yes because an option contract can always be accepted during the time period that the offer is held open. The limitation on C was that it can be accepted during that period so long as the man did not take any steps in reliance on the prior rejection. And Thomas, I'm sad to tell you yeah, be on guard for those always answers. This is an interesting. I think it would have been a harder question if in place of the inadequacy of consideration you had had no because the because the man first rejected the offer. And then that would have really, I think that might have even steered you to the right answer. When you're thinking about an options contract, so the first question is, you have now paid for that entirety of that time. And so then the question is, can you do something to shorten that time period or do you presumptively get all of it? And the answer.

The best part about big sugar is the outer bike festival goes on simultaneously so all the registering for big sugar. They're gonna walk through outer bike while they register And an outer bike man the demos galore and it is kinda promptly mountain bike bogus. The demo Bikes for gravel out. There they'll be some road. Bikes for the people condemn. Oh and all sorts of brands will be demoing I know a specialized shows up with a lot of e bikes as well although yet it's It's a family affair outer bike now. Yeah that sounds like a fun time But anyways so we're coming up on on some time but i got one last question for you and i never. I never prep anyone for this question. And the reason is because. I love the off camber spontaneous answer. Because if you think about it you're just going to pick somebody generic but if you don't think about it it's going to be in the moment so if you could have a cup of coffee with one individual and if you don't drink coffee you can do scotch whisky beer. t- water. It's it's gotten legit It's gotten really legit and so Yeah and so that kind of turns us into your founder race big sugar. Yeah that's pretty legit. I mean how did you find yourself a part of that and did you find the racer like how did you grabble crowd. The family finds you right so ironically. Enough my wife at the time was working at We were probably two years into relocating from colorado. To bentonville arkansas. My wife had been talking to the founders of decay. Trying to get them to put an event on in arkansas. What does she do. She said nat spin. That's been putting on of instrument twenty years so Last couple big events. I did were Massive events like five thousand competitors or or riders And let's say like the triple bypass in colorado so I stepped down from doing the big events but My wife amy ross. Said i think that would love to do the event and then the women were doing the women's campaign they said. Let's get a women's ride director. Let's have somebody like nat. Who's put on advance before A help onboard gabby atoms and get her to be the event director and kind of that was the goal for this year. Actually last year but The event as we all know we all skip to season so fascinated. October twenty third. It will be our first annual Big sugar in little sugar event in bitten bill. Nye do that super cool did you. So what's the stats like. I love to have these conversations. I love having i had this before. We we lost markowitz. You know we used to. He used to text me and be like it. Sold out in like ten minutes so like what's the stats right now. For big sugar. How's it. look it yes. So this is lifetime right. So lifetime knows the portfolio. We sold out in under six minutes. the launch date that we opened up registration so it sold out so fast at surpassed the entire teams expectations. It was lightning fast. Now that's amazing and so what what. What do we have to expect for big sugar. What we have coming up. If we're if we're racer coming to big sugar what what should we be expecting. Yeah so you can see. A lot of people are hitting the website trying to figure out just the last minute details at the end of the year. It's clutch right especially this late in october. Keeping the motivation keeping the health. And then just that that extra step fitness. So you've got folks Taken the course out and recon multiple times throwing some straw times out there and and not just want so you're talking to the patients The collins that have come back multiple times to get that landmark because They really want to put their mark on this course But early on when we did kind.

"I had this conversation with meredith miller because and you you're familiar with meredith miller right. Yeah definitely and so what what what. I had the conversation with her. Because i felt like she left the sport as a time where social media was the big. Roi right and so. She was like her era was like the tail end of results based sponsorship. I think and then her name kinda in name started to carry. But do you think that by that switch that pushed good athletes out of the sport. You understand my questionnaire because conversation with meredith and she said yes but what is your opinion. Well it kind of depends on the discipline quite a bit because that switch the good athletes. They're if they're tried and true to their discipline they're going to rise to the top With the proper support maybe they're not aligned with the right brand at the moment or maybe they're just having a bad season or even on a bad team. So there's a lot of factors at play on that but honestly if the athlete has the the wherewithal in your the same way. A lot of folks at that world level taipei personalities driven. No no one's really going to get in the way of what you need to do. And if they do they might be a little bit more determined in you or driven on certain aspects of insa races. So i i would say it depends on the circumstance. Also also the Sometimes the age of the athlete or even the federation that the athlete is is going through the ranks in so there's so many variables out there that and meredith as a road racer back in her day. She was in the prime with the gals when they were. You really had to put your time in the off season from the training camps on and that formats changing a little bit. Now so these days you could still go to the training camps but you could be active on social media and then helped the team out For certain key events and still be named the roster the next year..

Yeah yeah no for sure. Luckily for me. I grew up in the epicenter at the time which was winter park colorado. Okay yeah and so. Did you race like you know for people that don't know you. I mean you're being you being kind of humble. So i wanna like dive into a little bit of your background and where it all get started. Yeah we'll just kind of go back a few years many many years back right now racing days. I did race on the factory team. I was lucky enough to be in that area. Where mountain biking was the pinnacle It surpassed kind of the popularity of road cycling as far as television at least locally in north america. So i was on gary fisher factory team. I did a thirteen year. Stint on that team Which is For those of the folks. That are listening. In wondering what gary fisher is was. He was a good point. Some people might not know what that is. This franchise is one forty nine football games the last four years most by any team in the national football league they were the only team to rank top five and scoring offense and scoring defense in twenty twenty. They went unblemished against the division. The first time they've gone undefeated against division mates in the franchise's history. And when you look at their schedule. I guess theoretically it starts off relatively manageable but still plenty of questions about new orleans and what life after drew brees is going to look like knowing that this defense has lost a few difference makers as well. Yeah i mean. I think there's a lot of uncertainty on offense especially when you have question marks at at quarterback and wide receiver to the most valuable positions on a team. But i think we do. Have to give sean payton the benefit of the doubt because there is this clear baseline of production and really a standard that he sat and i had a chance the other day to really dig into this and i thought it was worth mentioning because i was stunned. How good offense is ben. And how consistent. It's ben for fifteen seasons. I mean as soon as sean payton gots new orleans. This is now fifteen complete years where the offense is never finished worse than eleventh inefficiency and over that fifteen year stretch the average efficiency. Rank is sixth. So you know when you have sean payton pulling the strings and you have an elite offensive. Line's still and a weapon. Like alvin. kamara. I don't think we're looking at a below average unit. Here i could be wrong and stylistically. It's going to be tough to gauge. Because we have to. Still see if sean payton's going to trust jameis winston you now on allow him to throw as much as he did breeze right and allow him to throw as much on early downs. Because if you remove the fourth quarters of the saints. They've been the six most pass happy. I down offense in the nfl. Do you think his days down there in the big easier officially done. I think one thing is very clear. And it's he is not returning until he is one hundred and one percent healthy. He's not trusting this medical staff who had him play out there and basically tell them you know it's not that series of an injury will just get your rehabbed up and you'll be out there in time to contribute for our super bowl run.
