The DAME Tax: Government's Extortion Attempt on Crypto Miners
"Let's start with the latest anti government sentiment. This, of course, came in the form of dame. Now dame, for those of you who missed my show on it, was the digital asset mining excise tax, and it was announced by the council of economic advisers for The White House on Tuesday. Their Twitter thread announcing it says crypto mining is a process for validating transactions among holders of crypto assets. While crypto assets are virtual, the energy used is very real and imposes substantial costs for context crypto mining in the U.S. is estimated to use more energy than all computers in the United States. Crypto miners tap large amounts of high polluting energy even reviving previously defunct fossil fuel facilities to power their operations. But even when miners use existing clean power, they're still less available for other uses, which in turn raises prices and increases overall reliance on dirtier sources of energy. Crypto miners intense and volatile power consumption can also push up electricity prices and make local electrical grids riskier as a result of increased strain on equipment, service interruptions and safety hazards, and there is little evidence of benefits to local communities in the form of employment or economic opportunity and research has found that minor increases in local tax revenue are more than offset by increased energy prices. Some states and localities are beginning to address the issue but to ensure that crypto mining is not simply pushed from one local community to another. There is also a role for national policy. Ultimately, the primary goal of the dame taxes for crypto miners to pay their fair share of the costs imposed on local communities and the environment. So as you can tell just from that announcement, this is a pretty aggressively positioned thing. And of course, bitcoiners saw right through it. Many viewed this not as a serious policy attempt given that it would have to go through the appropriations process in Congress, but just an attempt at extortion. Bit pain rights, those of you confused about how the U.S. system of government works. They have no intention of banning Bitcoin mining.

You know, you wake up one day and they're blown to smithereens. And so it's been fascinating. Well, it's quite interesting because it's also happening over here in the UK at the same time. Crypto Clients Flee Silvergate
"All right guys, jam packed end of the week. First of all, a quick follow-up on silvergate. Obviously they were the main character of yesterday's show and what started as a trickle of crypto companies leaving the bank has now turned into a flood. By Thursday, the list of companies that had cut ties with silvergate included coinbase circle, paxos, crypto dot com, bit stamp ledger X, CBOE digital markets, galaxy digital and Gemini. Silvergate share price dived about 58% dropping to an all time low. For those who haven't listened to that show, silvergate had announced on Wednesday that it would be delaying filing its ten K annual report, and the notice of delay stated that the bank was answering questions from its auditors and accountants needed to assess the impact of ongoing regulatory and DoJ scrutiny and needed to reconsider its ability to quote continue as a going concern. It's assumed that kraken is the only major crypto exchange continuing to use silvergate, having cut ties with crypto banking rival signature bank on Wednesday, although kraken have not commented on whether they still have significant business with silvergate or not. Now, one of the other subplots of the silvergate revelations was speculation around the status of micro strategies $205 million Bitcoin backed loan from the bank. Some breathless short sellers have speculated that the loan might be called in if silvergate declares bankruptcy. Catalyzing a micro strategy margin called that some have been speculating about since the beginning of this bear market. Micro strategy calm this speculation on Thursday afternoon, tweeting, we have a loan from silvergate not due until Q one 25. There are market concerns regarding silver Gates financial condition. For anyone wondering the loan wouldn't accelerate because of silvergate and solvency or bankruptcy. Grayscale, The SEC & Genesis With Michael Sonnenshein
"Michael is the CEO of grayscale who are part of the digital currency group, and therefore they are intrinsically linked to genesis trading who halted withdrawals in November last year and filed for chapter 11 bankruptcy on January the 20th. Now, genesis had massive losses on their loan book due to exposure to the likes of three AC and Babel finance and they halted withdrawals which impacted both genesis and Gemini earned customers. They've been a lot of questions flying around regarding the relationship between genesis and grayscale, the nature of the loans offered and who knew what about the allegations of three AC being offered billions of dollars in un collateralized loans used to acquire shares in GBTC. And the reason these trays are really important is that there was a period in time where the shares in GBTC were trading in a premium and if you held onto those shares for 6 months out through the lockup, you could then sell them on the open market for a profit. It was quite a good trade for those took advantage of it for the period existed. Now, the problem was when the premium closed and the nav went negative, the likes at three AC were left holding masses of underwater GBTC in turn exposing genesis to bad loans on their books. And this is what led to genesis Houghton withdrawals as they couldn't honor all redemptions. You should also be aware that there are now SEC and DoJ investigations into transfers between genesis and their parent group DCG. Now, when mean Danny headed out to New York, Danny wanted to talk to Michael, but I told him look forget it. There is no chance Michael's going to come on the show. But strangely, their PR team reached out to us and asked him to come to the show. So obviously we jumped at the chance, and in preparing for this interview, I came to the conclusion that Michael was on somewhat of a PR tour following public discussions of a shareholder revolt which could see the trust unwound. Now, grayscale is the golden goose of DCG, commanding fees in the hundreds of millions of dollars per year for managing the trust. And grace go on Michael have been at pains to tell everyone how they are suing the SEC to convert the trust into an ETF, which is great for investors, how much they care about investors and how much they care about Bitcoin. In the Bloomberg ecosystem, our colleague on Bloomberg opinion, Aaron Brown, made the argument that the winklevoss twins reputation has been severely tarnished. This idea that they were like the literal golden boys of crypto seems to be fading a little bit. Do you think that the winklevosses have a tarnished reputation quote unquote? So I'm of two minds here. On the one hand, Gemini says it worked with regulators. It ran its own product by them, and they didn't say anything against it. And of course, we know that coinbase tried to launch a similar product and it was directly told by regulators that if you launch it will sue. Yeah. And so it's very clear to back off very clear. So on one hand, you would think that one's Gemini saw the coinbase action maybe it should have reconsidered or done something on the other hand if what they say is true and they initially got a green light from their regulators, then they could also feel like we haven't done anything wrong. You know, I think part of what needs to happen is reexamination of regulators role and actions and whether they were asleep at the wheel, whether they did all they were supposed to. And overall, I think Gemini still continues to have a much better reputation than the lord of other overseas exchanges. And the winklevoss twins are obviously accomplished and known people who are trying to comply with the U.S. law as they have repeatedly said. So, you know, but I also, at the same time, there are a lot of posts on Reddit and other social networks essentially saying, I used to be a loyal Gemini customer and I left. I am fed up with this. I lost money on urn, not coming back. And in fact, if we look at statistics, Gemini lost quite a bit of market share over the last year. So I think there's definitely been damage done. You know, at the same time, this is part of a problem that has impacted the entire industry. The winkle vie have had to play this very delicately. These two different things where we're like, we wear polo shirts, but we also shredded meat and guitar. And it seems like kind of emblematic of what they were trying to do with Gemini. Offer these attractive, slightly risky yields, but also benefit from the perception that they were one of the safer places to be. How possible is this going to be in the future in this regulatory environment? I think with regulators really kind of tightening their grip on the sector, like you said, it all goes to this tradeoff between risk and yield, and I think what we might see is that as regulations tighten the ability to sort of speculate and earn crazy double or triple digit yields here might decline. I'm not sure it will go away completely, but it might decline, but maybe the good thing from the point of 7 point of investor protection and so forth. But in terms of where Gemini and the winklevoss brothers go from here, I think it's still remains to be seen. They both sort of insist that they're not going anywhere. They are very strong believers in the sector a couple of years ago, Tyler, a winklevoss wrote, this big assay, saying, according to his estimates, he believes that Bitcoin will reach 500,000. We think at a $10 trillion market cap, we think one Bitcoin will be worth $500,000. And we think that could happen inside this decade, definitely the next 5 years. So we're HODLers at least until they are not just saying that, they completely believe that this will be achieved. And I sort of tend to be of the mind that yes, people's memories are short. And if we enter another bull market, their business will recover. And just as a last question on that point about them sticking around, one of the things that you've mentioned is the fact that the brothers have a lot of their own personal wealth, right? Partly from investing in Bitcoin very, very early. Have they made any suggestions to what saying that they would personally make any of the investors in the urn product hole or are they kind of separating them as individuals from Gemini as entity? So there has been no suggestion that they would use their personal wealth to bail anybody out. So each brother has about 3.2 billion in personal wealth at this point. And I think a lot of investors even investors in Gemini who, you know, the latest round Gemini raised was in late 2021, they raised 400 million at valuation of 7 billion for the Gemini exchange. Would a Genesis Bankruptcy Actually Be Good for Crypto?
"All right, Friends, we are back with another discussion of 2022 cleanup, although today's news I would argue could be a heck of a lot more bullish than it might seem at first. So of course, one of the biggest outstanding questions after the fall of FTX has been how far the fallout and contagion might go. And fallout there has been. For example, there has been a significant chilling of the relationship between the crypto industry and the Washington D.C. establishment. However, frankly, the main short term thing that people have been worried about is whether the collapse of FTX would cause other crypto institutional failures. In that context, the biggest spotlight has been on genesis and its parent company digital currency group or DCG. I say this every time, but DCG is also the parent group of coin desk. Now, genesis was hit hard in the three arrows capital collapse. They lost about 2.4 billion in loans out to the hedge fund, and ultimately ended up their biggest creditor with a $1.2 billion claim after liquidating collateral. That claim was eventually moved over to the books of DCG, a move which would later complicate DCG other liquidity issues. When FTX went under, genesis announced that they had something like 175 million trapped there, but it seemed there were bigger issues than that. That same week, genesis lending halted withdrawals, which was problematic both for their main customer base, as well as for the users of Gemini urn, which was crypto exchange Gemini's yield feature. Gemini users have about $900 million or so stuck on genesis as we record. And since then, the tension around the situation has done nothing but grow. Over the past few weeks, there has been an ever escalating war of words. Cameron winklevoss the co CEO of Gemini has published two separate open letters around the case. The first being directed to DCG CEO Barry silbert, accusing him of bad faith stall tactics, and asking him to meet with them to find a resolution, and the second being to the DCG board. Basically demanding that silbert be removed from the CEO role.

Last thing that we need to talk about here today, I mean, I hope the last thing that we need hopefully nothing is breaking right now. Oh man, this Gemini DCG grayscale genesis, like this whole thing is such a disaster. It's really funny in the sense that it's a bunch of billionaires slapping, fighting, like just, I don't know, acting insane publicly openly and loudly. This started, it started a while ago. This is the Gemini urn product, which we'll get into what happened today in a second here, but basically I want to just go through the backstory here, Gemini urn, was this product that Gemini was offering that was offering much better rates than your savings account or whatever. And people were utilizing it to get great interest rates. That sounds a lot like a security and that is going to be something that comes up here shortly, but regardless, they were utilizing genesis to fund this earned product. And they had basically handed $900 million to genesis and now they can't get it back. Now they can't get their money back and they can't get anything for their customers and they're saying it's all Barry's fault and what a jerk barrier is and they wrote an open letter on Twitter saying, hey man, we can't reach you. You're a jerk. You better talk to us. And I guess he didn't. So they wrote a second open letter, and they said, hey, we're more mad now. We're more upset. I'm angry or this time. That didn't seem to work either. Kind of made fools of everyone, Barry looked just as bad. And the only person who really did anything, ultimately was Gary gensler. So let's talk about what happened just before we went live. Genesis and Gemini have been charged with selling unregistered securities because of the offering of the aforementioned Gemini earned product. Which makes sense, right? Like ever since coinbase got the wells notice telling them not to offer their earned product. It's been pretty clear that the SEC has not approved of these lending products. We saw them take action against BlockFi, we saw them supposedly have investigations on going into some of the other ones, but now we're kind of at the moment where after genesis has shut off with drills after Gemini earned customers have been without their funds for a month now. Over a month, a long time, Gary gensler, the hero of the day, is stepping in to save us by charging these entities with offering unregistered securities.

Why Gemini Users Are Mad at Genesis and DCG
"We are back. It's the new year. Things are still happening. A lot of the real big dramas of the last December November period are in the process of unwinding. The biggest among them is the situation going on with our friends at DCG. So for those of you who've been following along, there's a big spat between DCG, Gemini and genesis. So genesis, if you recall, giant lender, they're going under, or at least are very close to going under if they don't manage to renegotiate things with some of their some of their creditors. So now one of their biggest creditors or I think actually the biggest creditor is a product called Gemini urn. Gemini earned is basically like a coinbase earn or Celsius type product where you retail users deposit capital. And that capital was being lent through genesis to generate yield. So the Gemini Ernst was frozen. Because of the fact that genesis was frozen, genesis is no longer processing withdrawals. And Gemini understandably is very upset about this as our there are hundreds of thousands of customers. So we've seen this big, very public back and forth now between the Gemini leadership and DCG, their leadership is namely Barry silbert. And so we saw this sort of dueling public statements going back and forth. Genesis and DCG basically claiming that, hey, we've been responsive. We're trying to negotiate the best solution for all the creditors. We're trying our best here. A few days ago, we saw the Gemini CEO Cameron come out and say, hey, we don't think that DCG, we don't think they're acting faithfully in good faith. We think that they are screwing with us. They're kind of dodging our calls. They're not willing to actually negotiate. And most notably, in the most recent letters, there was, I think, three rounds of back and forth. In the most recent letter, Cameron comes out and accuses DCG of fraud.

"Companies amount to. The amount to unregistered securities offering. They're not like interest as would be dictated by a banking relationship in the normal normal terms. They are a security offering that didn't go through its due diligence in terms of getting the necessary approvals to be rolled out to customers. Many of whom are resale customers in the instance of Gemini earned. And now I mentioned all the other stuff that's going on with Gemini and genesis and escalating war of words between Gemini, genesis, and genesis parent company digital currency group, which disclosure is also the parent company of coin desk. That's a whole nother thing, but we're going to talk about the SEC action as it was dropped yesterday. I'm going to put will in the spot for this one. SEC Gemini genesis, what's your take on this one? This is a whole new chapter in the Gemini genesis feud. There is a lot going on here. In Zach, I kind of want to fact check you. I'm not sure if you're quite right. I think there was a little change in the language in that video because he did call back to BlockFi and then forcement action there. But I think 90% of that video was old. I think they just substituted a little bit in there. So yes, hats off to Gary gensler for reusing content. The cheapest way to do it. But let's talk about the winkel vibe in their reaction to what happened yesterday. So if genesis and Gemini feuding publicly on Twitter, we have Barry silbert, and the winklevoss going at each other in front of everyone. It's been great and spectacular to watch unless you have funds on Gemini earn that is, of course. But we have nice tweet from Tyler, winklevoss yesterday, saying, quote, it's disappointing that the SEC chose to file an action today as Gemini and other creditors are working hard together to recover funds. This action does nothing to further our efforts and help earn users get their assets back. Their behavior is totally counterproductive. He goes on in his tweet to say that the SAT did not even give notice to Gemini or genesis before filing here. In fact, they just sent out press release, issued some tweets, put up this cute little video and let the wreckage start on Twitter. And that's a pretty tough place if you're in Gemini or genesis seats, right? Like they're already dealing with very angry customers, they're already dealing with huge holes and losses in their balance sheets. And then Gary Gonzalez comes up from the top roads and hits him with the steel chair. It's a very unfair and it's pretty spectacular to watch. We saw a lot of people on crypto Twitter jump into this and be like, what is up, Gary? You could have had an enforcement action months ago on this. Years ago at this point, and you come in at the last moment when the Gemini earned program has actually been offline for two months. That's when you're going to do enforcement action. It seems like an odd escalation. Is that going to throw it back up to you? But definitely want to get ads take on the story. Yeah, all credit to hasid from dragonfly venture capital investor in the space who tweeted that the comedic timing here by the SEC is just chef's kiss perfect. And I think that to me is the thing that is probably the funniest thing. Okay, Gemini genesis from the headlines. And now SEC acts on entirely different matter after withdrawals have been frozen for more than two months. It's pretty crazy to see it come down at this point in time. Maybe simply because they were in the headlines for other stuff, but who knows? Adam tossing it to you. Yeah, I think the old saw is applicable here, which is this is the SEC closing the barn door after the horses are long gone at this point. To the extent that they were going to do something, there were plenty of opportunities to. Gemini is claiming that they've been in talks essentially with the STC for the last 17 months. And so again, like the choice to make this now does seem as Tyler winklevoss says that it's optimizing for political points. That feels like that's a very correct read to me. And I think it's one of the broad frustrations that many of us who have been in the crypto industry for a long time have had, which is that it's not like companies, especially those based out of the U.S., want to do things in a way that's kind of gray zone shady, whatever. It's that the rules that are applied to these types of things don't fit. Zach, you opened this piece talking about how this is different than giving your money to a bank and then the bank paying you interest. I don't actually think it is. Like legally it may be different, but in practice, it's the same thing that's happening. The only thing that's different here is that the U.S., you know, the federal government doesn't have an FDIC equivalent that covers these types of things for crypto product, where they do for the banking system, but that's really the only difference. You're giving your money to somebody who's going to make money for themselves by lending it to somebody else or using it in some way. And then they're going to pay you some of the money that they earn off of it. That is exactly what banks are supposed to do, except of course, in the modern era banks don't pay any interest at all, but they still do that with your money. It's just another example of when people looked at Gary gensler coming into this. They said, oh, this is a regulator who knows how to do this right because he understands the space. He has a history of teaching about this. And he has a nuanced understanding. And I was very skeptical. And I think my skepticism has been proven out. His knowledge of the space just means he knows exactly the place to stick the knife. And I think we continue to see that. They're doing everything they can to help themselves and really to hurt everybody else who's involved. Jen, you've got the last word on this one. Doesn't anyone else feel like we have deja vu here? Didn't this happen with coinbase? They were working with the SEC. They were going to launch their earned program. And then the SEC, who they were working with, who they were talking to the entire time came around and either sued or threatened to sue them on that earned program, and then they had to roll it back. You would think that when that happened, the SEC would start looking around for other similar programs and say, actually, you know what? We're going to apply what we learned and what we were trying to enforce in coinbase in all of these other programs, and they didn't do that.

So if genesis and Gemini feuding publicly on Twitter, we have Barry silbert, and the winklevoss going at each other in front of everyone. It's been great and spectacular to watch unless you have funds on Gemini earn that is, of course. But we have nice tweet from Tyler, winklevoss yesterday, saying, quote, it's disappointing that the SEC chose to file an action today as Gemini and other creditors are working hard together to recover funds. This action does nothing to further our efforts and help earn users get their assets back. Their behavior is totally counterproductive. He goes on in his tweet to say that the SAT did not even give notice to Gemini or genesis before filing here. In fact, they just sent out press release, issued some tweets, put up this cute little video and let the wreckage start on Twitter. And that's a pretty tough place if you're in Gemini or genesis seats, right? Like they're already dealing with very angry customers, they're already dealing with huge holes and losses in their balance sheets. And then Gary Gonzalez comes up from the top roads and hits him with the steel chair. It's a very unfair and it's pretty spectacular to watch.

"Let's get into the meat of today. And that is, of course, the DCG drama continuing. I mentioned on yesterday's show as I was finishing up recording that Cameron winklevoss had just dropped another open letter. His second in two weeks. That letter ended up eliciting the longest response we've seen for months from DCG and its CEO Barry silbert. At this point, I don't think many of you need too much background, but the ultra TLDR of the situation is that genesis is a subsidiary of the digital currency group DCG, who also own coin desk, by the way. And genesis has both a lending business and a trading business. The lending business in particular had a rough 2022. They were the biggest creditor of three arrows capital after it collapsed, which led to DCG taking over that claim and the genesis CEO resigning. Genesis also had a $175 million or so stuck on FTX, and in the wake of the FTX collapse, genesis lending halted withdrawals. Among other things, that has trapped around $900 million that was part of Gemini's earn program, which is their consumer yield program. As time has gone on, Gemini's customers have been getting angrier and angrier and so too the public pressure from Gemini on genesis and DCG is also ratcheted up. Last week, that took the form of an open letter asking for Barry silbert and DCG to come to the table by January 8th, which was Sunday. That's the letter in which Cameron winklevoss accused silbert of bad faith stall tactics his words. In the wake of that, there was a bit of back and forth on Twitter, but nothing really more than that. Then of course, on Friday, Bloomberg reported that DCG and genesis were being investigated by the Department of Justice, which took the situation up a couple more notches. Well, yesterday on Tuesday, Cameron winklevoss dropped a second open letter and this one was even more accusatory than the first. This one was directed not to bury silbert, but to the entire digital currency group board. The big theme of that letter was that this was no longer just a public disagreement between business partners, but an accusation of fraud. The letter kicks off, I am writing to let you know that Gemini and more than 340,000 earn users have been defrauded by genesis global capital. Together with its parent company digital currency group, its founder and CEO Barry silbert, and other key personnel.
