NBA Top Shot NFTs Are Securities, Fed Judge Says
"Okay, we're going to start this section with an important case regarding dapper labs that's the creator of topshop moments, NFT collection, which was a big runaway juggernaut at the center of the NFT boom. It's from a cropper recently with a ruling to say that some of the NFTs that were being sold are in fact securities and could be subject to SEC regulations, cam, this is very much in your ballet wick. Just tell us more about this case and white matters. Yeah, so I think it's really interesting. I have been waiting for a moment in the NFT space where there is some regulatory question and not necessarily clarity because I don't think we have that with this case, but it is a big moment calling these top shot moments securities. I think that a lot of this case came down to obviously the howey test, which determines whether or not an asset is a security or a commodity. And in the case of dapper labs, because they were minted these topshop moments, they were mentioned as NFTs on the flow blockchain, which is a private network, which also has its own private flow marketplace. That was one of the main reasons why these top shot moment NFTs were plausibly securities. Can we just explain the distinction about a private blockchain versus a public blockchain and why that should make a difference in this case? Yes, so essentially take an NFT minted on Ethereum. You know, Ethereum is a public network, anyone can put NFTs on Ethereum anyone can mint an NFT on Ethereum. With flow, it's a little bit different because, you know, it's privately owned and created by dapper labs and a big part of this too is the centralization feature, right? I mean this is a fully centralized marketplace slash blockchain that people can come partner with and put different projects on. Well, I think it's important to bring up two points in this case. One, this is a suit being brought by investors, not by the SEC, which is an important distinction because the SEC hasn't made any allegations itself in regards to dapper yet, and therefore we don't know yet how they feel about NFTs. The second point, I think, important to remember, the investors are upset that they lost money in this investment and they're taking it out on dapper labs by alleging that these are securities. What the judge has done here is say, well, we're going to let this case move forward and see where it goes. And the core argument that the investors are alleging that these NFTs are securities well, at this point in time, we're going to allow that argument to move forward.

You've you know when you are in back in college in the last which gets overlooked so often particularly middle age is fun. You're gonna have fun if you if i'm not having fun i'm done i mean life should be one and i am not saying you have to throw caution to the wind nor advising and quit your job and just follow your passion and do all that make you need to be having fun need to have hobbies. You need to have outlets. You need to be with people that are fun. You know you need to be embracing your curiosity on and this is not some doldrum were in in mid in middle life. We don't have to be accepting just of of conformity and compliance and dullness now and complacency. Yeah i mean we were just talking about this the other day. 'cause i you know i tend to get like stuck in stuff and i'm an inter like he's so much better about letting things go more quickly than i am like i get i i really dig my heels in when i'm pissed off about something it's a bad habit that i'm trying to work through in the moment so hard but after the moment i can totally see you're pretty clearly like what the fuck are being so stupid about this. You know and you said to me something yesterday. You're like. I just want us to enjoy our lives like of course we're going to do things that other outlets like move faster than light get back to enjoying our time together and you said. I probably didn't tell you but in that moment i was raised. That was that was silence while we're still a little bit mad. But i can recognize. In retrospect and i think it's such a good lesson which you're saying greg. What you said to me yesterday was just like it is like is life shore like we forget about the having fun part. We're on this treadmill. Like trying to be successful and trying to be like in shape in trying to do this and blah blah blah. It's like let's just stop. And have which i think is good. Those are those are the the great ones the type as the ones that are committed to all the things that you said and there may be forgetting a little bit about where funds should be in the equation and what about the ones that are doing. All of those things that are going through the motions. Now that are unhappy you really and truly unhappy not satisfied with what they're doing and how they're living in not in the shape that they wanna be not thinking few years down the road for things not a we have a help there and really really dive in and maybe from the outside looking in on a lot of those is at least that i know i could look out my window and the whole the whole neighborhood from the outside looking in it looks pretty good. But what do you when you get in there. You know okay like same job for like twenty something years moon. Haven't put away whatever we wanted to put away. I can't really afford to leave. I don't really wanna stay. Maybe i should. Maybe i shouldn't is getting a little older taken for granted. You know the woman all of these but from the outside looking in it looks pretty good. You've got your cars in the driveway. You got your nice house. You know you're a member of this level and that's challenging it is challenging and it's also a lot of other things i mean i i mean this. There's lots of the way i talk about it or i do with plenty of clients. There's benefits to playing not to lose. And i would call all that playing not to lose right. Do i have enough. Yeah is this that. Yeah but i don't look as bad as this guy yet. You know what. I'm better than my dad. Okay good but it's all just playing not to lose which is a long way of saying surviving allowed that you know and then but a whole different world opens up when i decide to move to playing to win right. Which is i hear your the invitation in all your fs is I'm assuming head. I play to win in all these apps like not just do can be turned into as you know but i did it like those are all domains in life and do i have any vision for what i want and first thing is to realize i've been you know toasting at least maybe at least coasting on some kind of default setting and i don't feel that bad about the t shirts i still have. I don't feel that bad about how much is in the bank and let pain you know. Be my compass. And if it's not painful not too painful than i'm fine. I'll keep waiting for the next year instead of like. Oh no no. I can actually want whatever the fuck i want right now. I can just decide to want something. And that's going to that that that's risky so the other parts like it's hard. It's hard to be in survival. No it's also really hard to have a vision for something is then. You've got to look in the mirror and say on. I said i was gonna get do whatever with my family. And you know what i just. Don't care enough about them. Or i said i was going to go do this but i just you know. Then you gotta face yourself you know. That's the risk of having a vision. Is i get to see how much of a fraud i actually am. It's it's really hard to do that. Die but it's very very hard to look in the mirror in a big a significant portion message in the book that that i'm writing is just as about looking in the mirror. you know. Make a lot of references to looking in the mirror. And what do you see looking back at you again. Physically emotionally mentally financially spiritually. All of these things. And can you deal with. What would the reflection can you deal with. What's coming back with you. How do you. Both sides are incredibly. Risky touching. This dad's was forty seven when he passed away so everybody looks at things through a different lens. I'm going on forty nine. I always felt like beyond forty seven. I'm in the bonus back. I am in the bonus. I'm gonna make the most of this because why is short. It is fleeting. So i've always stocked up on always stocked up on life insurance of course because it wasn't for proper planning my family would have been in a really bad situation can be as healthy as as anybody but the bus is still going to take me. I hope it never happens in there but cropper planning you know so you can again take some stress and anxiety weight off your off. Your shoulders live the best way. You can be healthy but again have fun. Take some risks. I'm not going to knock have a cheeseburger for for eight months. Because i really give a shit about what my i. It's not that important. You know have fun. Enjoy keep things in perspective but be respectful and be responsible to for yourself and for those that. You're that you're around. If you made that commitment have kids and be married and you got to honor those commitments tale it all facets of of your life. Yeah for those. I mean it seems like there's you represent and by the way thanks for being on men. Were really excited. Thank you for having me for people to be able to hear this. I hear that your conversation represents the antidote to both sides meaning. There's like the lethargic guy that's just gonna try to like coast it out and you're you know the shot in the arm and a man wanted to wake up and give a shed. Nah i mean. I've been been fact i've i have been fit. I have been a incredible drinker. Which is another way of saying having a drinking problem and how somebody who really doesn't drink much at all i've taken the entrepreneurial risks and try different things and they also spent fifteen years in a big large publicly traded corporation. Also so. I try to look things through all of those lenses experiences and not to say that i have any of the answers and had figured anything else out. Because i really haven't. Wrote, produced and play guitar. On a lot of those iconic hits. He was a close collaborator and a good friend of Otis Redding's. I Got to speak to Steve on the 50th anniversary of Otis Death. Here's that conversation. Does so much to talk about with Otis here. I want to. I want to start at the beginning. Can you just tell me the day that Otis Redding came into your life? Yeah, well, very quickly. We were waiting on a session with Johnny Jenkins in the pine toppers. Yeah. So stacks, you know, rhythm section bucatini. Um, Jesus, whatever we're at that time, pretty well known for having several hit instrumentals under our belt, and so, uh, Johnny Jenkins manager thought would be a good idea to bring Johnny Down two stacks. And lo and behold, weird sort of giving up. That was way before phones in Texas and all that we knew they would do, But we didn't know when they'd show up. So we went outside on the sidewalk to smoke a cigarette. And all of a sudden this Cadillac pulls up, pulls down past us, and this big, tall guy gets out goes around to the truck. It starts getting stuff out of the trunk, and I and I see he's got microphones. And so I go running down there said Hey, man! Hey, Hey, Hold on. I said we got microphones inside. We don't need those. Oh, really? So he was He was always writing and he was sitting up like it was a gig. Well, I thought he was a driver or the roadie. Whatever you want to call them, you know? And but he was the lead singer Johnny Jenkins band. During the session. Al Jackson, R drummer came to me and said, You know that guy that drove Johnny up here and I said, Yeah, he said. He's bugging me to death about getting somebody listen to him, saying already told him that you do auditions on Saturday, not during the week. But he keeps insistence. So at the end of the session, Al comes back to me up under control room and he said, You know, I told you about that guy and I said, Yeah, I don't have time to listen, he said, But he's bugging me to death. Get him off my back, please. Boy. That was a great move. I said Okay, gentlemen to come down to the piano, and he did, And I said, Okay, play something, he said. I don't I don't play piano. I played a little gut tired, but I'm not playing the piano, He said. Just give me some of them Church quads. And I said like this and started playing triplets. And he said this and he started saying in these arms a man want whoop. Stop right there, he said. You don't like it as an artist. Hold on. Don't move, and I ran up the control room. I said Jim Stewart at the time, the owner and the engineer. I said, Get out here! You've got to hear this guy's voice. And so he did He come down. He heard it and saying these arms of mine and Jim says, We've got to get that on tape. The guys were already leaving the studio duck down years later reminded me, he said. You came outside yelling at me to get my base back out. We had this song We had to put down real quick, He said he was putting his base and he's drunk. We got. We got the track right here. "If there's ever a big event going on at the Rose Bowl. I can usually tell I live about two miles away. And the traffic can back up all the way to my house. But this weekend was something different than I've seen before gridlock hours before the k pop band BTS was scheduled to go on Saturday night. Los Angeles Times music critic, August Brown was there amongst the sellout crowd. And when we spoke he described what it was like to witness the first of BTS's two biggest shows in America today. There were people that were camping out for days just to hear the sound shack. Not even the actual show. So yeah, the the demand was significant. So how rare is that for a pop band to be able to sell what I think it's like fifty two thousand seats when the rose bowls can figure that way for a concert. Yeah. They're they're in very rare air for that kind of a crowd. They did unites to this. And you know, there at this point they're in league with, you know, your beyond say's and your wonder actions as far as kinda that if the crowds both of their I think only you too in their particular stay. Age setup did more the Rosebowl recently. But yeah, and and to do that for a non English speaking actors really extrordinary that the the depth and breadth of the appeal of k pop here, I wanna ask you about the scene when you arrived at the Rose Bowl. How far people had traveled how long they had been there. And what the demographics looked like? I was doing some interviews out in the crowd and a huge number of people had traveled from all over America to come to this k pop acts usually tour on the major cities on the coast. But it's it's not as easy to get to CD's bans in person as a lot of western rocker pop acts. So they made the occasion to come out. And the the cropper Cape pop is really diverse, obviously, a lot of Korean Americans and Asian Americans. But you know, it span the spectrum of the very demographic some very young kids and very amused. Parents at this kind of show and a k pop really is for everybody.
