"Owners make sense of the value in their company so that one day they can sell it when they want how they want and to whom they want each week. I answer three questions about business. Value were selling companies that come in from the website or social media. This is a little bit shorter of an episode but hopefully it will be helping your journey to making a salable company. All right so let's get to it. Okay the first question. How is a buyer going to take over a relationship with the customer that or the customers that I have developed over the years all right so the first thing is that you know? Chances are that you've got a lot of businesses as well as Employee relationship that you developed. I mean you just can't be in business for probably as long as you have Without developing those relationships. But as we've talked about in the guests that I've had on the podcast I mean grades a little bit of a challenge to transfer those relationships to a buyer. And that's what the buyer ultimately is doing is trying to mitigate those risk. So like I said. There's a risk associated within win. And and you should anticipate that the buyer is going to to want to figure out ways to offset any perceived risk. So there's a couple of areas of you probably want examine contracts with your customers you probably need to I identify sign ability now. Most customers aren't going to blindly just assign contract over to someone that they've never met so the transition between seller to buyer becomes a more instrumental so the second thing you need to keep in mind is that Evaluate the relationship. You know that the is the relationship really with yours or with the company Both at grades. Excuse me for both. It does create a challenge The the seller believed that The work around is just self stock. And then then the problem with the assign ability just goes away because the stock sale facilitates that contract going with the buyer. Well the buyer doesn't the buyer and the buyer's attorney will probably kick back pretty hard and say you know that's not. There's just too much risk into due diligence. That has to be done. In order to to mitigate that risk in doing so so I wouldn't anticipate that a stock sale would be likely so the second way and and probably the the most prevalent way to to do it is is an orderly transition so the transfer of any kind of relationship is it takes time and as you move through the sale process. How do you facilitate? How do you facilitate those those relationships? Well it takes time. And then it also takes the seller working with the buyer and working with the customer and the employees and that's why the TR training in transition agreement becomes instrumental in that effective transfer. The next question. What Environmental Issues Do? I need to consider when selling my company so buyers and their advisers are extremely sensitive these days to environmental issues. Not that they shouldn't there not that they haven't been historically but Certainly the the greater awareness of damage to the environment is amplified. And so you know how much it cost to remediate and or cleanup an area. So there is a heightened sense of concern especially when there are red flags around that particular business so those companies that have that on That are drycleaners. Gas Stations Anything that has chemicals that that can be spilled on the ground. A lot of manufacturing companies If you're building is old and or whether you own it or release it and it's It was housed on on something that perhaps a gas station or dry cleaner or some other type of high risk land. Then you you need to keep that in mind and then how. Lastly if the buildings old as best as or lead paint bait lead based paint you also want to be sensitive to that so the easiest most cost effective way to to identify whether or not you have a problem. Having what's called a phase one environmental study conducted and that's just the noninvasive study in its Akin to the way a perhaps a a realtor or I'm sorry an appraiser a real estate appraiser would do a drive by in size up the company or the company The the real estate from from the road without going in and then going back and research you know the history of that piece of real estate and then if there are there are signs that Perhaps it requires additional Study Than Bor- boring samples and different other techniques would be employed for Face to study. So yeah I think that Answers that question okay. The last question in should I replace or repair equipment before pointing my business on the market. Well you know. Today's business buyers are engaging equipment appraisers to evaluate tangible assets. So it's a good idea to make sure that the equipment the equipment in good working order and has Economic life remaining the re the equipment appraiser is certainly going to be akin to knowing what challenges perhaps that piece of equipment or the the package of equipment represents and if you haven't been updating the equipment then it might be a situation where the value is penalized as a result for it so the long answer. The short question is is. Yeah you probably need in order to get maximum value to a replace or repair the equipment that is in disarray before getting on the market or at least anticipate that. But taking up the house, drums, or even just filtering it out like some hard style, just filtering out the heart-stopping sensor, just so next level and crazy. And we were just kind of experimenting. And that's what hap- we started putting those up on soundcloud, and it started to create a whole new sound. But that was just making these edits in these like things like that. And so it wasn't even like a we're going to try to do something. It was like it was just a process of like we got to show showcase our process. And luckily, we had a little bit of a fan base beforehand that I think helped when we did put the music out get it to that extra point. Like if we didn't have lost one point the two point oh stuff wouldn't have probably not been as poppin in. And so you wouldn't have known how to capitalize. Exactly. And that was the other thing that I was going to get to is like once because we had fallen off so hard like the two thousand ten era. Like, we knew what it was like to lose this like we'd lost. It was done. And we were like considering going and working at like jobs like actual jobs. And then when we actually had a shot, it was like, hey, the door opened again a little bit and him, and I just like went in. And we like we got so Bor, and we just like. Grinded so hard for two years. We built up a crazy fan base. We built up a scene like we started designing clothes, and we'd just like capitalize anything. We. We knew that we ruined or didn't do right and floss one point two point. Oh, we took and just like ran with it. And one thing that stood out to me in those first couple years was how detail oriented you got about everything like from everything. Like, I remember I, and I'm sure you remember this to one south by southwest down in Austin. It was like it was basically the floss two point. Oh, coming out party. I think it was like the first time you guys had played after the music had started to blow up. Yeah. So, you know, some little bar probably like hundred capacity spot, and you guys were there. I think you didn't even really know how to do the show yet. Like, I remember you had like a bunch of controllers and the other thing that I remember with. That the room was packed. And it was split fifty fifty. It was like a weird club where you're kind of in the middle. And so they're like fifty people just in the crowd. And then there were like fifty deejays behind just like, I remember it was like me like smash next to dip below like like shoulder to shoulder, but everybody from that scene in that era was in that room at least that's what it felt like for that performance. Like, do you? Remember the night? I'm actually talking about this. No, you're not. And I do remember a lot of like, especially the early incarnation of flaws two point. Oh, it was. "To which organization opera operation should belong. Good question. And I think you know, there's probably a fair number of your listeners that don't understand some of those distinctions. So we are were in always will be what's known as a combat support agency. And and that means were an element of the department of defense. And we exist to make sure that the war fighters have the information they need as they're looking to defend the US or go into battle. And so the foreign intelligence mission of NSA is one of the KEA neighbors. Right. That is that is central to one of the activities and say does is for an intelligence cyber command. And and interestingly enough that foreign intelligence if you get down into the authorizations that allow NSA to do that. It's it's an area known as as title fifty. Which is a civilian intelligence authorization the military operates and performs operations under title ten. And in fact, NSA has no authority to do offensive cyber operations. So we have the technical capability we will often support, but sensei Bor command has stood up. We do that in support of cyber command. We will do that at other times in support of other US government agencies that have thirties execute operate. But we don't have any authority ourselves outside generating foreign intelligence. Sorry, it's purely a collection role now and all offensive operations. The command all offensive operations, our cyber command or another US government agencies to lead, but we can integrate people onto their teams under there. Authorities. Okay. So you can deliver the work, but you can't initiate it. Correct. In one I think you'll see, you know, the the expertise you needed to do cyber operations resided in an essay. And and when I say resided at an assay that still meant there could be a lot of military people. We have a fair uniform population within NSA, I'm it could've been military people who are gaining those skills and building those capabilities, but I think what what the department of defense recognize was the world was changing the amount of conflict kind of below the level of war. That was coming at us. The amount of threats to our ability to be able to rate weapon systems our ability to safeguard or information and even operate the platforms like planes and ships and tanks that now are mobile computers ability to keep them safe an operational. We head to head. Have more people in the military capable of performing the the cyber operations necessary to do the DOD's mission. And yeah, some of those things are very defensive a significant amount of cyber commands resources are defensive cyber activities running our networks and securing our networks. Well, I mean, I'm on you, describe what you described is pretty clear separation of the balls of of anti and cyber command in very very simply explained, and yet, you know, general Neka sunny, of course, west who hats runs both NSA, and and saw the command and has said has been on record saying that, you know, splitting those roles is actually going to be quite quite difficult at least in the in the sort of short to medium-term sorry. How do you then go about actually separating these things out? I mean because it seems like we've got two different parallel bureaucracies operating out of the same building. How do you go about actually turning them into more distinct organizations without kind of ruining the cooperation between the two the two bodies? You made a good point that, you know, general Naksone dual headed, and if you look at the way the structures of the two organizations are he is literally the only person that that lives on both sides of that fence what we're going to have is we're gonna have NSA insider command supporting interoperation and and collaborating for the for the infinite future. Right. I don't think you can have a military organization operating inside or space. That's not going to have to engage with an essay be supported by NSA because that's our role. Right. Combat support agency and even informed by NSA. So cyber command has some civilians, but predominantly most of their or forces is uniformed a fair amount of them are enlisted military that are going to rotate up out. It's a benefit to the to NSA because we're seeing talent AMAN. We're also seeing a good amount of that talent go into industry where they where they're going to be able to bring that knowledge out into defending the nation at the corporate low..

"Everyone chat cemetery is back. And we have a brand new guest on the podcast. I am talking to Dan Shuna today all about fire starter the novel, and we are going to be diving into that momentary. But Dan, I just wanted to welcome. You to the podcast says it is your first time. How are you doing today? I'm good. Thank you very much for having me. Oh, no. This is one of my favourite, Stephen King novels, and I'm excited to talk about it. Of course. And I know you are also a big Stephen King fan. So I sort of just want to quickly discuss how you started getting into his novels and everything since like, I said, this is your first episode and obviously talking about one of your favorites right off the bat is a pretty big deal here. So. Yeah. Absolutely. So for me, Stephen King, the first time a really I was aware of them because my mom used to read him fairly regularly. The first time. Really had access to it was early nineties at junior hire junior high library had the entire of Stephen King novels have been released at that time, which I mean going back and reading them now as you know, I I don't know that that was necessarily appropriate for some of them. But you know, and so that's that's where I I got access to it. And so being that age I would check them out from the library. And even then I kinda knew that maybe I wasn't super supposed to be reading this. But I was I was anyway. And so there was that element of you know, transgression I'm doing something that I'm not supposed to rating, but that was my first experience with him was like reading short story collection skeleton crew things like that. Bor- really hooked me on them as when I was in early high school I picked up the dark tower books and something about that the originality of it and just the broad scope of what he set out to do in the beginning was just staggering to me. It was like nothing I had ever had ever seen before him. So really pulled me in the mix of genres and the character development, and then finding out later that he is he's pulling in a, you know, influence as an events from from his other novels, which are great on their own and and standalone as as their own great works. But just knowing that all of that has been pulled in in seeing where that's going really hooked me in and got me a to read his his bigger catalog, and it is certainly a very large catalog as we are going to find out with this podcast, especially since you know, I plan to cover at up as well that sort of just expands it even more and with. Fire starter here. One of the first things I want to discuss is the pacing of the book because this is a book that is over four hundred pages long. You know, some of his earlier books were a little shorter. And like you mentioned short story collections are big part of his writings as well. You have nightshift as one of the early short story collections there. But with this, you know, you sort of just have this really character-driven story, and I would say a lot of his books are that way. Especially the ones that are, you know, named after characters like Kerry, obviously, it's going to be a character driven one and everything like this. But here he is focusing on a child, and I think that sort of makes it so that you pace it a little differently because Charlie McGee is even you know, younger than Kerry was when Stephen King created that charactered she was in high school and everything..

I need to crack these items they told me these are my goals, I have to do them. And then just now like last week goes like, wait, what am I doing this? My God, there's so much fun pack your this reminds me in animal crossing new leaf there were what all always be these like neighborhood requests, like your neighbors would be like I really want a like traffic cone, and you'd be like a why? To find space and raise money, which usually no one wants to pitch into you would have to basically bankroll yourself. Like, why do you want a second traffic now, and why is to be near the other traffic code and now I'm feeling suspicious to that? This was all in like a prelude to the nuclear operations that she's continuing to. Yeah. They're they're like they're putting it out like sparsely. So that no one will notice you have people will notice. So, you know, once like, for example, I I was asked to make a lunar Rover for somebody and this came suspiciously a week after another animal Bor Filbert asked for space shuttle bake rocket, and I just like what? And then someone ask for an asteroid. And I was like, okay. What's going on here? What's going on the recreating, the moon landing Armageddon? But it's really suspicious, and especially like, I don't get to interact with Isabelle. I don't know. Maybe in the main crossing games you do. But here like she just kind of like she barely appeared. She'll just give an announcement show like go back. So she only talks to you about like important things with Felix.
